1. The Service

Periagoge is operated by PRAIY LLC, a limited liability company doing business as Periagoge, with its principal place of business in Carlsbad, California. Periagoge provides AI-guided coaching and personal-development experiences delivered through conversational AI coaches and through journeys, plans, content, tools, and community features.

The Service is for personal and professional development and education. It is not a substitute for professional advice or care. For medical, mental-health, legal, financial, or other professional decisions, consult a qualified professional.

2. Accounts & Eligibility

Age

You must be at least 13 to create an account. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf. Where GDPR applies, you must be at least 16 (or the age of digital consent in your country) unless a parent or guardian consents.

Your responsibility

You are responsible for activity under your account. Keep your credentials secure and notify us at notices@periagoge.ai if you suspect unauthorized access. You may not share account access, create accounts for others, or use automated means to access the Service without our written permission.

One account per person

Each person may maintain one account. Creating duplicate accounts to evade enforcement is a violation of these Terms and may result in termination of all associated accounts.

3. Subscriptions, Billing & Automatic Renewal

Paid plans are billed monthly or annually as selected at checkout. Prices are shown before you subscribe, and payment is processed by Stripe.

Cancellation & refunds

You may cancel at any time as described above. We do not provide refunds for partial billing periods except where required by law or expressly offered (for example, through our exit-interview process). If we terminate your account for reasons other than a policy violation, we will refund the unused, prepaid portion of your billing period.

Price changes

We will give you at least 30 days’ notice before increasing the price of your current plan. You may cancel before the change takes effect if you do not agree.

Chargebacks

Please contact support@periagoge.ai before filing a chargeback so we can resolve the issue. Filing a chargeback without contacting us first may result in account suspension.

4. Acceptable Use

You may use the Service only for lawful personal learning and development. You may not:

• Use the Service to harass, threaten, or harm any person;
• Extract, scrape, or systematically copy our content at scale;
• Resell, sublicense, or provide others access to the Service through your account;
• Generate content that violates applicable law or our Community & Content Policy;
• Reverse-engineer, bypass, or undermine any security measure or usage limit;
• Disrupt the Service’s operation for others;
• Impersonate any person, organization, or AI system.

This list is illustrative, not exhaustive. We may determine, reasonably and in good faith, what violates the spirit of these Terms.

5. Content Policy & Enforcement

Your use is subject to our Community & Content Policy, incorporated here by reference, which defines prohibited content, graduated enforcement, and appeals.

Automated enforcement

We use automated systems to detect and respond to policy violations. These may act immediately — including removing content and suspending accounts — without prior human review. Automated actions are subject to human review and appeal, except for the absolute prohibitions (Tier A) described in the Content Policy.

Appeals & reporting

Except for Tier A violations, you may appeal any enforcement action through your account settings or by emailing notices@periagoge.ai; we review appeals within 5 business days. To report a violation, use the Report control or contact notices@periagoge.ai. We do not tolerate retaliation against good-faith reporters.

6. AI Coaching & Limitations

What your coach is

Your Periagoge coach is an AI character powered by a large language model, designed to support personal and professional development through dialogue, reflection, and structured journeys. Your coach is not a therapist, physician, lawyer, financial advisor, or other licensed professional, and using the Service does not create any professional-client relationship.

AI can be wrong

AI systems can produce inaccurate, incomplete, or misleading output. Do not rely on your coach’s responses as professional advice. You are responsible for your own decisions and for seeking qualified professional help for important matters.

Not confidential in the legal sense

Conversations with your coach do not constitute a therapist-client, attorney-client, or other legally privileged relationship. We protect your information as described in our Privacy Policy, but privilege does not attach.

Topics that require a licensed professional

Some areas are regulated professions that, by law, require a licensed professional who owes you duties a coaching tool cannot. In these areas your coach can help you reflect, understand general concepts, organize your thinking, recognize when you need a professional, find and evaluate a qualified one, and prepare the questions to ask them — but it will not, and you should not ask it to, act as a substitute for one:

• Medical & mental health. Your coach does not diagnose conditions, prescribe or adjust medication, or provide therapy, counseling, or treatment, and it is not a physician, psychologist, or licensed therapist. For symptoms, diagnoses, medication, or mental-health treatment, consult a licensed clinician.
• Crisis & self-harm. Your coach is not a crisis or emergency service. If you may be in danger or are considering harming yourself or others, it will point you to emergency and crisis resources (911 / 988), but it cannot provide emergency intervention or ongoing clinical care. See Section 7.
• Legal. Your coach does not provide legal advice, does not form an attorney-client relationship, and cannot tell you what the law requires in your situation or represent you. For legal questions, consult a licensed attorney in your jurisdiction.
• Financial, investment & tax. Your coach is not a financial adviser, broker, or tax professional. Nothing it says is investment, tax, or financial advice, or a recommendation to buy, sell, or hold any asset. For financial decisions, consult a licensed professional.

These limits exist because these fields are licensed and regulated for your protection, and because your coach is an educational and self-development tool — not a licensed practitioner. You remain responsible for your decisions and for seeking qualified professional help where it is warranted.

Content limits

Your coach will not generate content that violates our Content Policy, regardless of how a request is framed. Certain refusals are absolute and cannot be overridden.

7. Health, Safety & Emergencies

Assumption of risk. Personal development can surface difficult emotions. You understand the Service is an educational and self-reflection tool, not care or treatment, and you use it voluntarily and at your own discretion. To the fullest extent permitted by law, you assume the risks of using the Service and release Periagoge from claims arising out of your reliance on AI-generated coaching, except to the extent caused by our gross negligence or willful misconduct or where such a release is not permitted by law.

8. Intellectual Property

Our content

All coaching content, journeys, plans, prompts, tools, AI coach characters and personas, trademarks, and other materials on the Service are owned by Periagoge or licensed to us. You may not reproduce, distribute, or create derivative works from them without our written permission.

Your content

Reflections, responses, and session content you create belong to you. You grant Periagoge a limited, non-exclusive, royalty-free license to host, process, and display your content solely to operate and provide the Service to you. If you post to community features, you grant us a license to display that content to other members as part of the Service. You can delete your content at any time.

Feedback

If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.

9. Your Content & Data

How we collect, use, and protect your data is described in our Privacy Policy. In summary:

• We use your information to provide and personalize your coaching and to secure the Service;
• We never sell your personal information, never share it for advertising, and never use your coaching content to market to you;
• We do not use your identifiable content to train third-party or foundation AI models;
• Any learning that improves the Service uses only de-identified, aggregated data;
• You can request to export your data or delete your account at any time.

10. Availability

We aim for high availability but do not guarantee uninterrupted access, and we may modify, suspend, or discontinue features. For material changes we will give reasonable notice. If we discontinue the Service entirely, we will give at least 60 days’ notice and a means to export your data.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or suitable for your purposes.

12. Limitation of Liability

To the maximum extent permitted by law:

• Periagoge, its owners, and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill;
• Our total liability for any and all claims arising out of or relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnification

You agree to indemnify and hold harmless PRAIY LLC and its officers, members, and personnel from any claims, damages, losses, and reasonable expenses (including attorneys’ fees) arising out of your misuse of the Service, your violation of these Terms or applicable law, or your infringement of any third party’s rights.

14. Dispute Resolution — Binding Arbitration & Class-Action Waiver

Informal resolution first

Most disputes can be resolved without formal proceedings. Before starting arbitration, you agree to contact us at notices@periagoge.ai and give us 30 days to resolve the matter informally.

Binding arbitration

If we cannot resolve a dispute informally, you and Periagoge agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider (such as JAMS or the American Arbitration Association) under its consumer rules, rather than in court, except as stated below. The arbitration will be governed by the Federal Arbitration Act. Judgment on the award may be entered in any court with jurisdiction.

Class-action & jury waiver

You and Periagoge agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and Periagoge waive any right to a jury trial. The arbitrator may not consolidate more than one person’s claims or preside over any class proceeding.

Exceptions

Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property. Nothing here prevents either party from reporting concerns to a government agency.

Your right to opt out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing notices@periagoge.ai with your account email and the statement that you opt out of arbitration. Opting out will not affect any other part of these Terms.

Severability

If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court; the rest of this Section remains in effect.

15. Copyright / DMCA

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to notices@periagoge.ai including: your contact information; identification of the copyrighted work; identification of the allegedly infringing material and where it is located; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your signature. We will respond to valid notices, including by removing infringing material and terminating repeat infringers where appropriate. You may submit a counter-notice if your content was removed in error.

16. Termination

By you

You may request deletion of your account at any time from your account page (Data & privacy) or by emailing notices@periagoge.ai. Your request is recorded and completed after review, within the timeframes applicable law requires (see our Privacy Policy). When we carry out a deletion, it erases or irreversibly anonymizes your personal information across our active systems; copies in backups and third-party processors then expire under the retention schedule in our Privacy Policy.

By us

We may suspend or terminate your account for violations of these Terms or the Content Policy. Tier A violations result in immediate permanent termination; other violations follow the graduated process in the Content Policy. If we terminate you without cause, we will refund the unused prepaid portion of your billing period.

17. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. For any dispute not subject to arbitration, you and Periagoge consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California. If any provision is found unenforceable, the remaining provisions continue in full force.

18. Changes to These Terms

We may update these Terms. When we make material changes, we will update the date above and notify you by email or in the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you disagree with a material change, you may cancel before it takes effect and receive a prorated refund of the unused portion of your billing period.
